Terms of Service

1. General provisions

These Terms of Service (the "Agreement") govern the relationship between NIXEL SYSTEAM LLC (ООО «НИКСЕЛ СИСТИМ»), incorporated under the laws of the Republic of Armenia (the "Provider", "we"), and the person using the NixelSysteam service at nixelsysteam.com (the "User", "you").

Registering on the site, signing in to the dashboard, or paying for a subscription constitutes full and unconditional acceptance of this Agreement. If you do not agree with the terms, please do not use the service.

2. Subject of the Agreement

NixelSysteam is a software platform for Wildberries and Ozon marketplace analytics for sellers: sales and finance analytics, external market and niche analytics, competitor analysis, SEO tools for product listings, price automation (repricer) and ad bid automation (bidder), AI insights and related tools. Access is provided on a subscription basis through the dashboard on the site.

3. Registration and account

• Registration is done with an email address; sign-in is confirmed with a one-time code, passwords are not used and not stored.
• The User must provide a valid email address and must not give account access to third parties. All actions performed in the account are deemed the User's actions.
• One User may connect several marketplace accounts (stores) to their account unless the plan provides otherwise.

4. Trial period

New Users receive a free trial after registration; its length is stated on the site at the time of registration. No bank card is required for the trial. When the trial ends, access to the analytics sections is suspended until a subscription is paid.

5. Plans and payment

• Current plans and prices are published on the Pricing page. A subscription is purchased for 1, 3, 6, or 12 months; payments for 3, 6, and 12 months include the discount stated on the site.
• The currency and payment method depend on the User's region: for Russia and CIS countries — in Russian rubles via the YooKassa payment service; for Armenia — in Armenian drams via Ameriabank (vPOS). Bank card details are processed on the payment provider's side and never reach our servers.
• The subscription does NOT renew automatically: when the paid period ends, the User pays for the next period themselves. The service performs no automatic card charges.
• Access opens immediately after the payment provider confirms the payment and remains active through the end of the paid period inclusive.

6. Refunds

• If the service does not match its description or is unavailable through our fault, the User may request a refund by writing to [email protected] from the email the account is registered to.
• Requests are reviewed within 10 business days. If approved, the refund is issued via the same payment method, minus the cost of the subscription period actually used.
• No refund is provided for the free trial period, as no payment is charged for it.

7. API keys and store data

• To analyze their own sales, the User connects the API keys of their Wildberries / Ozon accounts themselves. Keys are used only to retrieve the User's store data, are stored encrypted, and are not shared with third parties.
• Automations (price changes, ad bid changes, etc.) run only if the User has enabled the corresponding tool themselves, and only within the settings they defined.
• The User may revoke a key in the marketplace account and/or remove it from the service at any time.

8. Rights and obligations of the parties

The User undertakes to:

• use the service only in lawful ways and for lawful purposes;
• refrain from actions that disrupt the service (request flooding, unauthorized access attempts, circumvention of limits);
• not copy, resell, or provide the service's data and features to third parties as a standalone product.

The Provider undertakes to:

• provide access to paid features throughout the paid period;
• take reasonable measures to protect the User's data;
• notify of material changes to the terms on the site or by email.

The Provider may suspend or terminate the User's access upon violation of this Agreement, refunding the unused paid period unless the violation involves unlawful actions by the User.

9. Limitation of liability

• Analytics data, forecasts, and AI insights are for information only and are not a guarantee of financial results. The User makes decisions based on them at their own discretion.
• The Provider is not liable for unavailability or changes of marketplace APIs, actions of payment providers, or other circumstances beyond its reasonable control.
• The Provider's aggregate liability is limited to the amount the User paid for the last paid subscription period.

10. Intellectual property

Exclusive rights to the service, its code, design, trademarks, and site materials belong to the Provider. The User is granted a limited, non-exclusive, non-transferable license to use the service during the paid period.

11. Personal data

Personal data is processed in accordance with the Privacy Policy, which is an integral part of this Agreement.

12. Changes and termination

• The Provider may amend the Agreement; the new version is published on this page with the update date. Plan changes do not affect a period already paid for.
• The User may stop using the service and delete the account at any time in profile settings or by request to [email protected].
• In all matters not covered by the Agreement, the parties are governed by the laws of the Republic of Armenia.
